Terms of Service — Cover Stock

Please read these Terms carefully before using the CoverStock app or website. By creating an account or making a purchase, you agree to be bound by these Terms.

Who We Are

CoverStock is operated by Cover Stock LLC, a Mississippi limited liability company ("CoverStock," "we," "us," or "our"). Our service allows users to purchase cover charges at participating nightlife venues and to buy and sell those covers on a peer-to-peer resale marketplace.

Eligibility

You must be at least 18 years old to create a CoverStock account. By using our service you represent that you meet this requirement. We reserve the right to terminate accounts of users who misrepresent their age.

Admission to any venue is subject to that venue's own age and ID policies, which may require guests to be 21 or older. Purchasing a cover through CoverStock does not guarantee admission to any venue.

Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@thecoverstock.com if you believe your account has been compromised.

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe are being used fraudulently.

Cover Purchases

When you purchase a cover charge through CoverStock, you receive a digital ticket ("Cover") valid for entry at the specified venue on the specified date. All sales are final and non-refundable unless the venue cancels the event.

A buyer service fee of $0.30 + 9% of the cover price is added to each paid primary transaction at checkout. For resale marketplace purchases, a buyer fee of 7% of the asking price applies. These fees are non-refundable.

Covers are subject to availability. CoverStock does not guarantee that a cover will be available for purchase at any given time.

Purchasing a cover does not guarantee admission. The venue retains the right to refuse entry at their discretion, including for ID verification, dress code, or capacity reasons. CoverStock is not responsible for denied admission.

Resale Marketplace

CoverStock operates a peer-to-peer resale marketplace that allows cover holders to list and sell their covers to other users.

Sellers may list an unused cover at any price at or above the venue's minimum resale price. When a listing sells, the seller receives 88% of the sale price, credited instantly to their CoverStock Wallet. The originating venue earns 5% of the sale price as passive income. CoverStock retains the remainder.

Buyers pay the listed asking price plus a 7% buyer fee. Resale purchases are final and non-refundable.

Only covers that have not been used (scanned for entry) are eligible for resale. Attempting to sell a used cover is fraud and will result in account termination.

CoverStock does not guarantee that a listed cover will sell.

Payments and Payouts

All payments are processed securely by Square. CoverStock does not store your full payment card details.

Payouts to bar venues are processed weekly via PayPal. When a resale listing sells, the seller's proceeds are credited instantly to their CoverStock Wallet. Sellers may cash out their wallet balance via PayPal or Venmo in the next weekly payout batch, processed every Monday.

CoverStock reserves the right to withhold payouts that are subject to disputes, chargebacks, or fraud investigation.

Prohibited Conduct

You agree not to:

Create fraudulent listings or purchase covers with stolen payment methods.
Attempt to sell a cover that has already been used or that you do not own.
Use automated tools, bots, or scripts to purchase covers in bulk.
Attempt to circumvent any sold-out restriction or purchase limit.
Initiate a chargeback for a valid purchase. Chargebacks for valid transactions will result in immediate account termination and may be reported to payment processors.
Harass, threaten, or abuse other users or venue staff.
Use the service for any unlawful purpose.

Ticket Validity and Venue Responsibility

CoverStock provides a digital ticketing platform. We are not the venue and do not control venue operations, hours, entry requirements, or capacity. CoverStock is not liable for:

Venue closures, cancellations, or changes to the event.
Denial of entry by venue staff.
Any harm, injury, or loss incurred at a venue.
The accuracy of venue descriptions, hours, or deal information listed in the app.

If a venue cancels an event after covers have been sold, CoverStock will issue refunds to affected purchasers at its discretion.

Intellectual Property

The CoverStock app, branding, and all original content are the property of Cover Stock LLC. You may not copy, reproduce, modify, or distribute any portion of the service without our written permission.

By submitting content to CoverStock (e.g., profile information, reviews), you grant us a non-exclusive, royalty-free license to use, display, and distribute that content in connection with our service.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. COVER STOCK LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY MISSISSIPPI LAW, COVER STOCK LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO COVERSTOCK IN THE 30 DAYS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Cover Stock LLC and its members, officers, and employees from any claims, losses, or damages (including legal fees) arising from your violation of these Terms or your use of the service.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via the app or by email. Continued use of the service after changes take effect constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by the laws of the State of Mississippi, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved in the courts of Mississippi.
